License Agreement

1. Purpose

The purpose of this Agreement is to prevent the unauthorized disclosure, use, or distribution of confidential and proprietary information related to the VTU web software (the "Product") that the Provider will be installing and licensing to the Recipient.

2. Definition of Confidential Information

"Confidential Information" includes, but is not limited to, all information related to the Product — including technical specifications, user interface designs, data, code, licensing details, update mechanisms, and any other proprietary materials or knowledge provided by the Provider to the Recipient.

3. Obligations of the Recipient

By making payment and accepting installation of the Product, the Recipient agrees to:
  1. Limited License Use: Payment grants only a license to use the Product and does not transfer ownership.
  2. Non-Disclosure: The Recipient agrees to maintain the confidentiality of the Product and all associated Confidential Information, and will not disclose, distribute, or allow access to any unauthorized parties without written consent from the Provider.
  3. Protection Against Unauthorized Use: The Recipient agrees to protect the Product from unauthorized access, reproduction, or distribution.
  4. Update Access: The Recipient will receive free updates for the Product (excluding the mobile app) for a period of one (1) month from the date of installation. After this period, a monthly maintenance fee of ₦1,000 applies for continued web updates and support.

4. Restrictions

  1. Reverse Engineering: The Recipient shall not modify, reverse engineer, decompile, or attempt to derive the source code of the Product.
  2. No Resale: The Recipient agrees not to reproduce, sell, or redistribute the Product in any form.
  3. Non-Compete: The Recipient agrees not to use the Product or any Confidential Information to develop a competing product or service.

5. Changes to Terms

The terms and conditions of this Agreement are subject to change at any time at the Provider's discretion. The Recipient agrees to abide by any updated terms as they become applicable.

6. Duration of Confidentiality

This Agreement and the confidentiality obligations herein will remain in effect for as long as the Recipient has access to the Product or possesses any Confidential Information related to the Product.

7. Termination

If the Recipient violates any terms of this Agreement, the Provider reserves the right to terminate the license and request the immediate cessation of all use of the Product by the Recipient.
